GoModel Commercial License Agreement

This Commercial License Agreement ("Agreement") is between enterpilot, Inc., a Delaware corporation ("GoModel"), and the person or entity purchasing or using GoModel Pro ("Customer").

By purchasing or using GoModel Pro, Customer agrees to this Agreement.

This Agreement applies only to GoModel Pro. The open-source GoModel software remains available under the MIT License and is not governed by this Agreement.

1. License

Subject to payment of applicable fees, GoModel grants Customer a non-exclusive, non-transferable license to use GoModel Pro for commercial purposes.

Each GoModel Pro license covers one company only: the Customer legal entity that purchased the license. Parent companies, subsidiaries, affiliates, and other legal entities must each purchase a separate GoModel Pro license.

Customer may not resell, sublicense, redistribute, or reverse engineer GoModel Pro except where permitted by applicable law.

2. Ownership

GoModel Pro and all associated proprietary software, source code, trademarks, and intellectual property remain the property of GoModel and its licensors.

This Agreement grants a license only and does not transfer ownership of GoModel Pro or its intellectual property. Nothing in this Agreement changes the terms of the MIT License that applies to the open-source GoModel software.

3. Pro Features

GoModel Pro features, functionality, limits, availability, and scope may change over time.

Purchase of GoModel Pro does not guarantee that any particular feature or functionality will remain available indefinitely.

4. 30-Day Money-Back Guarantee

Customer may request a full refund within 30 days of the initial purchase.

Upon refund, the applicable Pro license terminates and Customer must stop using GoModel Pro.

After 30 days, payments are non-refundable except where required by applicable law.

5. No Warranties

GOMODEL PRO IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOMODEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES ARISING OUT OF OR RELATED TO GOMODEL PRO.

GOMODEL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR GOMODEL PRO WILL NOT EXCEED THE AMOUNT CUSTOMER PAID FOR GOMODEL PRO.

7. Termination

This license terminates if Customer materially breaches this Agreement.

Upon termination, Customer must stop using GoModel Pro.

8. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between GoModel and Customer regarding GoModel Pro and supersedes prior agreements or communications relating to the same subject matter.
